Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the Zencrypt Support Shopify app, the related dashboard, the storefront chat widget, and any related services (collectively, the “Service”) provided by Zencrypt (“we,” “us,” or “our”).

By installing, accessing, or using the Service, you (“you,” “Merchant,” or “your”) agree to be bound by these Terms. If you are accepting these Terms on behalf of an entity, you represent that you have authority to bind that entity, and “you” refers to that entity. If you do not agree, do not install or use the Service.

1. Eligibility and accounts

To use the Service, you must (a) operate an active Shopify store; (b) be at least 18 years old or the age of majority in your jurisdiction; and (c) comply with Shopify's Acceptable Use Policy and Merchant Terms of Service. You are responsible for maintaining the confidentiality of your Shopify account credentials and for all activity that occurs under your account.

2. The Service

The Service provides AI-assisted customer support for Shopify merchants, including: (i) a storefront chat widget that converses with end customers; (ii) automated and semi-automated replies generated by large language models; (iii) integrations with Shopify Admin to execute merchant-approved actions such as refunds, returns, cancellations, address updates, and discount issuance; (iv) an inbox dashboard for human review and reply; and (v) related telemetry and reporting.

We may modify, expand, or discontinue features at any time. Material reductions in functionality on a paid plan will be communicated at least 30 days in advance.

3. Free plan

The Service is currently offered on a free plan with usage caps designed to fit smaller stores. Caps include, without limitation, a monthly conversation limit per store, a per-conversation message limit, per-IP rate limits on the storefront widget, and daily caps on AI pipeline runs and automated actions. Current cap values are listed in the merchant dashboard and may change over time.

We reserve the right to introduce paid plans, modify the free plan's caps, or discontinue the free plan, with reasonable advance notice provided through the dashboard or by email.

4. License

Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Service for your internal business purposes during the term of your installation. All rights not expressly granted are reserved.

5. Your responsibilities

Lawful use. You will use the Service only in compliance with applicable laws, including consumer protection, marketing, data protection, and tax laws.
Customer notice. You will inform your customers, in your own privacy policy, that an AI-powered support tool may process their inquiries on your behalf, and you will obtain any consents required by law.
Action authorization. When you enable automated execution of refunds, returns, cancellations, or other store actions — or when you click “Approve” on a queued action — you authorize us to perform that action against your Shopify store on your behalf. You remain responsible for the financial and operational consequences of those actions.
Acceptable use. You will not (i) reverse engineer, decompile, or attempt to extract source code from the Service; (ii) use the Service to send spam or unlawful content; (iii) attempt to bypass rate limits, abuse safeguards, or AI safety filters; (iv) use the Service to compete with us or build a competing product; (v) use the Service in life-critical, regulated-medical, or safety-critical contexts; (vi) submit another person's personal data without a lawful basis.
Account security. You will keep your Shopify credentials secure and notify us promptly of any unauthorized access at contact@zencrypt.co.in.

6. AI disclaimer

The Service uses third-party large language models (currently provided by Anthropic and OpenAI) to generate replies and to interpret customer requests. AI output may be inaccurate, incomplete, or biased. You are responsible for reviewing AI-suggested replies and AI-executed actions before they take effect, except where you have explicitly enabled automated execution under conditions you control. We do not warrant that AI output will be correct, fit for any particular purpose, or free from error, and we will not be liable for losses caused by reliance on AI output.

7. Data

Our handling of personal data is described in our Privacy Policy, which is incorporated into these Terms. As between you and us, you retain all rights, title, and interest in your store data, customer data, and chat content. You grant us a limited license to process that data solely as needed to provide the Service.

We do not train AI models on your data. Aggregated, de-identified analytics may be used to improve the Service.

8. Intellectual property

The Service, including its software, design, branding, and documentation, is owned by us and our licensors and is protected by intellectual property laws. Except for the limited license in Section 4, these Terms do not transfer any of our intellectual property to you. Feedback you provide may be used by us without restriction or compensation.

9. Fees and billing

The Service is currently free. If we introduce a paid plan and you upgrade to it, billing will be handled by Shopify Billing API. Fees are non-refundable except as required by law. Taxes are your responsibility unless we are required by law to collect them.

10. Suspension and termination

You may stop using the Service at any time by uninstalling the app from your Shopify admin. Uninstalling triggers deletion of your data per Section 7 of the Privacy Policy.

We may suspend or terminate your access immediately and without prior notice if we reasonably believe you have violated these Terms, applicable law, or Shopify's policies, or if your use of the Service creates a security or operational risk. We may also terminate the Service in whole on 30 days' notice for any reason.

Sections that by their nature should survive termination (including Sections 6, 7, 8, 11, 12, 13, 14, and 15) will survive.

11. Disclaimer of warranties

The Service is provided “as is” and “as available” without warranty of any kind, whether express, implied, statutory, or otherwise. To the maximum extent permitted by law, we disclaim all warranties, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. We do not warrant that AI output is accurate, complete, or suitable for any particular decision.

12. Limitation of liability

To the maximum extent permitted by law, in no event will Zencrypt, its affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenues, data, or goodwill, arising out of or relating to your use of the Service, even if advised of the possibility of such damages. Our aggregate liability arising out of or relating to these Terms or the Service will not exceed the greater of (a) the fees you paid us in the 12 months preceding the event giving rise to liability, or (b) one hundred U.S. dollars (US$100).

13. Indemnification

You will defend, indemnify, and hold harmless Zencrypt and its affiliates from and against any third-party claim, demand, or proceeding arising out of (i) your use of the Service in violation of these Terms or applicable law; (ii) your store's products, content, or customer interactions; (iii) actions you authorized us to take on your store; or (iv) your violation of any third party's rights, including privacy or intellectual property rights.

14. Governing law and dispute resolution

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the courts of Lucknow, India, and the parties consent to personal jurisdiction there. Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.

15. Changes to these Terms

We may update these Terms from time to time. Material changes will be announced via the merchant dashboard or email at least 30 days before they take effect. Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

16. Miscellaneous

Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and us regarding the Service and supersede prior agreements.
No waiver. Failure to enforce any provision is not a waiver of that provision.
Severability. If any provision is found unenforceable, the remaining provisions remain in effect.
Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
Notices. We may give notice to you by posting in the dashboard or emailing the address associated with your Shopify account. Notices to us must be sent to contact@zencrypt.co.in or to Lucknow, India.
